Agreement to These Terms

These Terms and Conditions ("Terms") form a binding agreement between you ("you," "your," or "User") and Marcus Naulin, a licensed mortgage planner and real-estate professional doing business through the website https://marcusnaulin.com (the "Site"), and his agents, employees, contractors, brokerages, and affiliated business arrangements where applicable (collectively, "we," "us," or "our"). By accessing or using the Site, requesting information, submitting an inquiry, applying for a mortgage product, or engaging us to perform real-estate brokerage services, you accept these Terms and the documents incorporated by reference, including our Privacy Policy, E-Sign Consent, Cookie Policy, SMS/Text Messaging Policy, Biometric Information Privacy Policy, and any service-specific terms. If you do not accept these Terms, do not use the Site.

You represent that you are at least eighteen (18) years of age, of legal capacity to form a binding contract, and not barred under applicable law from receiving the services offered through the Site.

Nature of Services

The Site offers educational information about mortgage products, real-estate transactions, market conditions, and professional services. Some content is general in nature and is not a commitment to lend, an offer to extend credit, an offer to buy or sell real estate, or legal, tax, accounting, or investment advice. Specific terms of any mortgage loan or real-estate transaction are subject to independent underwriting, qualification, appraisal, title clearance, regulatory approval, and execution of separate written agreements.

We are licensed as a mortgage loan originator under NMLS# 469645 and as a real-estate licensee under California DRE# 01322846. Licensing details and licensee status may be verified at nmlsconsumeraccess.org and dre.ca.gov. We are not authorized to do business in jurisdictions where we are not licensed and we will not provide regulated services to residents of those jurisdictions.

Eligibility and Account Responsibilities

You may use the Site only for lawful purposes and only in compliance with these Terms and applicable law. If you create an account, you are responsible for: (i) maintaining the confidentiality of your credentials; (ii) all activity that occurs under your account; and (iii) promptly notifying us of any unauthorized use. We may suspend or terminate any account at any time, with or without cause, where reasonably necessary to comply with law or to protect us, you, or another User.

Intellectual Property

The Site, including all text, graphics, photographs, video, audio, software, logos, marks, page layouts, content compilations, and source code (collectively, "Content"), is owned by us or our licensors and is protected by United States and international copyright, trademark, trade-dress, and other intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for personal, non-commercial purposes. You may not copy, reproduce, modify, create derivative works from, distribute, publicly display, publicly perform, republish, sell, license, or otherwise exploit any Content without our prior written consent. The Marcus Naulin name and logo are protected marks; unauthorized use is prohibited.

If you submit testimonials, reviews, photographs, video, or other content ("User Content"), you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, distribute, publicly display, modify, and create derivative works from the User Content in any medium for any lawful purpose, including marketing. You represent that you own all rights necessary to grant this license and that the User Content does not infringe any third-party right.

Prohibited Conduct

You agree not to:

  • Engage in any unlawful, fraudulent, deceptive, or harassing activity through the Site.
  • Impersonate any person or misrepresent your affiliation with any person or entity.
  • Submit knowingly false information on any application, lead form, or document.
  • Reverse-engineer, decompile, or attempt to derive source code from the Site or any of its components.
  • Use any robot, spider, scraper, headless browser, or other automated means to access the Site for any purpose without our express written permission.
  • Introduce any virus, worm, trojan, ransomware, time-bomb, or other malicious code.
  • Bypass, disable, or interfere with security or authentication features of the Site.
  • Use the Site to harass, defame, threaten, or violate the legal rights of others.
  • Send unsolicited commercial communications through the Site or to any address obtained through the Site.

Mortgage Product Disclosures

All mortgage product information is preliminary and subject to change without notice. Rates, points, fees, annual percentage rates, and program guidelines reflect current market conditions and lender pricing as of the time of display and may differ at the time of application or rate-lock. Approval of any mortgage application is contingent on satisfactory verification of credit, income, assets, employment, property, title, appraisal, and other underwriting criteria. Real Estate Disclosures

All listing data is provided for the personal, non-commercial use of consumers and may not be used for any purpose other than to identify prospective properties consumers may be interested in purchasing. Listing data is deemed reliable but not guaranteed. Square footage, lot size, school assignments, taxes, fees, and other particulars should be independently verified.

If you are working with another real-estate licensee under an exclusive representation agreement, this is not an offer to provide brokerage services. Brokerage services in California are provided under California DRE# 01322846. Equal Housing Opportunity.

Disclaimers

To the fullest extent permitted by law, the Site and all Content are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, currentness, availability, security, or freedom from error or virus. We do not warrant that the Site will operate uninterrupted, that defects will be corrected, or that any communication will be transmitted free of corruption.

Information on the Site is general and educational. It is not legal advice, tax advice, accounting advice, investment advice, or a substitute for qualified professional counsel. Consult your own attorney, tax adviser, accountant, or financial planner before making any decision affecting your legal or financial interests.

Limitation of Liability

To the fullest extent permitted by law, in no event will we, our affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or use, arising out of or related to your access to or use of the Site, even if advised of the possibility of such damages and regardless of the theory of liability (contract, tort, statute, or otherwise). Our aggregate liability for direct damages arising out of or related to the Site shall not exceed the greater of one hundred U.S. dollars (US$100) or the amount you paid us during the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow limitation of certain damages; the limitations above apply to the fullest extent permitted by law in your jurisdiction.

Indemnification

You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claim, demand, action, suit, or proceeding asserted by any third party, including reasonable attorneys' fees, arising out of or related to: (i) your use of the Site; (ii) your violation of these Terms; (iii) your violation of any law or third-party right; or (iv) any content or information you submitted to or through the Site.

Dispute Resolution and Binding Individual Arbitration

This Section requires arbitration of most disputes on an individual basis and waives your right to a jury trial and to participate in a class or representative action.

A. Informal Resolution

Before filing any claim, you agree to first attempt informal resolution by sending written notice to contact@marcusnaulin.com describing the claim and the relief sought. The parties shall negotiate in good faith for sixty (60) days. Statutes of limitation are tolled during the informal period.

B. Binding Individual Arbitration

If informal resolution fails, any claim, dispute, or controversy arising out of or related to these Terms or the Site, whether sounding in contract, tort, statute, fraud, misrepresentation, or any other legal theory, shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in the county of your residence or, at your election, by telephone or video conference. Judgment on the award may be entered in any court of competent jurisdiction.

C. Class-Action Waiver

You and we each agree that disputes will be resolved on an individual basis only and not on a class, collective, consolidated, mass, or representative basis. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding. If this class-action waiver is held unenforceable as to any claim, the parties agree that such claim shall proceed in court rather than arbitration; the remainder of this Section remains in force.

D. Exceptions

Either party may bring an individual action in small-claims court for any dispute within the court's jurisdiction. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual-property rights.

E. 30-Day Right to Opt Out

You may opt out of this arbitration agreement by sending written notice to contact@marcusnaulin.com within thirty (30) days after first accepting these Terms. Your notice must include your full name, address, and a clear statement that you wish to opt out of arbitration. Opting out does not affect the remainder of these Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Subject to the arbitration provisions above, exclusive jurisdiction and venue for any judicial proceeding lies in the state and federal courts located in Ventura County, California, and you irrevocably submit to such jurisdiction.

Termination

We may suspend or terminate your access to the Site at any time, with or without cause, with or without notice. Upon termination, all licenses granted to you cease and Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous provisions survive.

Changes to These Terms

We may revise these Terms at any time. Material changes will be communicated through a prominent notice on the Site, by email, or by other reasonable means. Your continued use of the Site after the effective date of any change constitutes acceptance of the revised Terms.

Force Majeure

We are not liable for any failure or delay in performance arising out of an event beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, government action, public-health emergency, labor dispute, internet or telecommunications failure, cyberattack, or supply-chain disruption.

Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be modified to the minimum extent necessary to render it valid and enforceable. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and us regarding the Site and supersede all prior or contemporaneous communications and proposals.

Notices to you may be sent by email, postal mail, or notice on the Site. Notices to us must be sent to contact@marcusnaulin.com with a copy by certified mail to the address listed in "Contact Us."
